Terms of Service
These terms are a template for B2B wholesale relationships. Have qualified legal counsel review before use.
These Terms of Service (“Terms”) govern access to the website operated by GC Clean (the “Site”) and wholesale purchases of products offered through our wholesale program. By accessing the Site or submitting an order, you (“Buyer”) agree to these Terms.
1. Wholesale only
Products are offered for wholesale distribution to qualified business buyers only. We do not sell retail through this Site. We may require proof of business status, licenses, or other documentation before approving an account or accepting an order.
2. Orders and minimums
All orders are subject to acceptance and confirmation by us. Minimum order quantities (including any published minimum such as 20 dual-pen sets), pricing, lead times, and availability are confirmed at the time of order acceptance. We may refuse or cancel orders at our discretion where required by law or policy.
3. Pricing and taxes
Prices are quoted in USD unless stated otherwise. Buyer is responsible for applicable taxes, duties, and shipping costs unless agreed in writing. Published prices may change without notice until an order is confirmed.
4. Payment terms
Payment terms, invoices, and acceptable payment methods will be provided on quotes or invoices. Late payments may incur fees or suspension of further shipments as permitted by law.
5. Shipping and risk of loss
Delivery dates are estimates. Title and risk of loss pass as stated in the applicable incoterm on the invoice or order confirmation. Buyer is responsible for compliant storage and handling after delivery where applicable.
6. Compliance and product use
Buyer represents that it will market, distribute, and resell products only where legally permitted and in compliance with all applicable laws and regulations. Products may require supervision by qualified professionals. Buyer is responsible for compliance in its jurisdiction.
7. Warranty disclaimer
Except as expressly stated in a separate written agreement, products are provided “as is.” To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Nothing on the Site constitutes medical advice.
8. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from these Terms or the products will not exceed the amount paid by Buyer for the specific products giving rise to the claim in the six months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
9. Indemnity
Buyer will defend and indemnify us against claims arising from Buyer’s marketing, resale, or misuse of products, except to the extent caused by our gross negligence or willful misconduct.
10. Governing law
These Terms are governed by the laws of State of Alabama, United States, without regard to conflict-of-law rules. Courts located in State of Alabama, United States have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
